Mid-Market Mergers, Acquisitions and Divestitures


Our core strength and focus in this area of practice is the timely and efficient completion of lower mid-market deals, where we act for buyers, sellers and target company management teams. In our niche market, we offer transactional experience similar to that of national top tier law firms, but with keener personal service and more cost-effective billing rates and practices.

We have extensive experience in complex national and international acquisitions, dispositions and divestitures of private businesses through asset or share transfers, mergers or spin-offs, including experience in crafting and negotiating approaches to bridge purchase price gaps and address liability allocations.

Although we offer top drafting, technical and negotiation skills, we are practical, solution-oriented and focus on the key elements and risks of a transaction, keeping in mind the client's business objectives, and we help a client create and maintain the deal momentum from term sheet to due diligence to closing.

We pride ourselves on our ability to work collaboratively with other members of a client’s transaction team. In addition to our internal resources, we seamlessly partner with highly skilled practitioners for support, as needed, in related practice areas such as tax, environmental, intellectual property and labor and employment. We thereby redefine the concept of a “one-stop shopping” firm.

On larger deals, we can offer outsourcing services for specific tasks or be embedded with a client’s internal team and work in conjunction with its other external advisors.

Investment Structures and Fund Formation

We specialize in the creation of domestic and international private investment funds, including equity funds, infrastructure funds, real estate funds, debt funds, hybrid funds, parallel funds, feeder funds, special purpose funds and hedge funds.

Internationally, we focus on and have extensive experience in structuring Canadian funds and other investment vehicles with a Latin America connection (primarily Mexico).

Although we are extraordinarily efficient in putting in place “plain vanilla” investment structures, we have been involved and have created a variety of more complex structures to meet our client’s special needs and goals and have a thorough understanding of the versatile Canadian limited partnerships (the predominant vehicle used in relation to international investment funds).

We act for a number of participants in the global investment funds market, including law firms, fund managers, private equity groups, pension funds, boutique investment management companies, institutional investors, family offices and accounting firm structuring teams.

We also offer reliable and affordable on-going compliance and maintenance services.

Strategic alliances, joint-ventures and venture capital transactions demand carefully planned, special corporate governance considerations to address questions of intellectual property, commercial arrangements, corporate entities, initiation of business activities, capitalization and funding (including shares, options, warrants, convertible debt and bridge loans), management, employment, stakeholder democracy, dispute resolutions, corporate accountability, exit strategies and procedures.

We give proportionate, thoughtful advice delivered with a pricing model that suits the stage of a client's business, and as importantly with a keen eye on the range of possible future relationships or transactions that might be crucial to a client's success.

General Counsel Services

Our General Counsel services are a cost-effective alternative for an operating business, an investor or an entrepreneur who needs the services of a general counsel but for various reasons does not wish to make the investment required for a full-time, in-house general counsel.  Our General Counsel services solves this dilemma by providing the client with an experienced general counsel who becomes a member of your management team and is available whenever needed.

In this role we can:

  • Provide responsive and solution-oriented day-to-day advice and input on issues as they arise;

  • Develop a deep understanding of the client’s business and strategic objectives;

  • Work closely with executives to develop and implement legal strategies that are consistent with their vision for the business;

  • Develop multi-disciplinary attorney teams to meet, as needed, with business executives to ensure legal strategies are supporting business objectives; 

  • Counsel on ways to reduce the risk and cost of litigation;

  • Manage major legal projects, including the legal aspects of a transaction;

  • Work with management on the pre-acquisition and post-acquisition stages of a deal;

  • Retain and supervise outside counsel;

  • Support, supervise and train junior members of a client’s legal team;

  • Identify legal trends and issues that may impact a client’s business and work with them to develop solutions;

  • Help control outside legal costs through supervision of matters, monitoring of time and costs, and negotiation of rates.
